These Terms govern access to and use of the Agrata Technology Solutions website. All client delivery, services, and engagements are governed by separate written agreements.

1. Purpose and scope
These Terms of Service (“Terms”) govern access to and use of the Agrata Technology Solutions LLC (“ATS,” “we,” “us,” or “our”) website, including all pages, content, and materials made available through it (the “Site”).
These Terms apply solely to the Site.
All consulting, training, staffing, delivery, or enterprise engagements with ATS are governed exclusively by separate written agreements executed between ATS and the applicable client (including, without limitation, Master Services Agreements, Statements of Work, or program-specific terms). Those agreements control in the event of any conflict and are not governed by these Terms.
By accessing or using the Site, you agree to these Terms.
2. Intended audience and authority
The Site is intended for professional and business use.
If you access or use the Site on behalf of an organization, you represent that you have the authority to do so and to bind that organization to these Terms.
3. Acceptable use of the Site
You may use the Site for lawful purposes, including evaluating ATS, reviewing informational content, and contacting us.
You agree not to:
- Interfere with or disrupt the Site or its underlying infrastructure
- Attempt to gain unauthorized access to systems, networks, or data
- Introduce malware, harmful code, or abusive automated traffic
- Scrape, crawl, or extract Site content without prior written permission

ATS may restrict or suspend access to the Site to protect security, availability, integrity, or compliance.

The Site and all content made available through it—including text, documentation, visuals, frameworks, and design elements—are owned by ATS or its licensors and are protected by applicable intellectual property laws.
ATS grants a limited, non-exclusive, non-transferable, revocable license to access and view the Site for internal business evaluation purposes only.
You may not reproduce, distribute, modify, publicly display, or create derivative works from Site content without prior written permission.
ATS retains all rights, title, and interest in its methodologies, frameworks, operating concepts, and pre-existing intellectual property.
5. AI and operational context clarification
The Site may describe ATS’s operating philosophy, delivery patterns, and governance principles, including the use of artificial intelligence as operational infrastructure.
All Site content is informational and does not constitute legal, regulatory, financial, security, or professional advice.
No Site content authorizes access to, processing of, or operational changes within any client-controlled environment. Any such activity is governed solely by written agreements and applicable client governance.
6. Submissions and communications
If you submit information through the Site (including contact forms), you agree that:
- Information provided will be accurate and lawful
- You will not submit sensitive personal data, regulated data, or confidential client information unless expressly requested through an appropriate secure channel
ATS may use submitted information to respond to inquiries and for legitimate business purposes consistent with its Privacy Policy.
Any feedback or suggestions you provide may be used by ATS without restriction or compensation, provided it is not publicly attributed without permission.
7. Third-party links
The Site may reference or link to third-party websites or services. ATS does not control and is not responsible for third-party content, availability, or practices. Use of third-party sites is governed by their respective terms.

To the maximum extent permitted by law, ATS will not be liable for indirect, incidental, consequential, special, or punitive damages arising out of or related to use of the Site.
ATS’s total liability for claims related to the Site will not exceed the greater of USD $100 or the amount paid to ATS specifically for Site access, if any, during the twelve (12) months preceding the claim.
10. Indemnification
You agree to indemnify and hold harmless ATS and its officers, employees, and agents from claims arising out of your misuse of the Site or violation of these Terms.
11. Changes to these Terms
ATS may update these Terms to reflect operational, legal, or governance changes. The “Last Updated” date indicates the most recent revision. Continued use of the Site constitutes acceptance of updated Terms.
12. Governing law and jurisdiction
These Terms are governed by the laws of the State of North Carolina, without regard to conflict-of-law principles.
Any dispute arising out of or related to these Terms or the Site shall be brought exclusively in the state or federal courts located in Mecklenburg County, North Carolina.
13. Severability
If any provision of these Terms is held invalid or unenforceable, that provision shall be modified to the minimum extent necessary or severed, and the remaining provisions shall continue in full force and effect.
